Section 1762. Salamanca hospital district authority

  • 1. A board to be known
      as the "Salamanca hospital district authority" is hereby created for the
      purpose of creating and operating  a  public  general  hospital  in  the
      hospital district to be organized as herein set forth.  Such board shall
      be   a   body  corporate  and  politic  constituting  a  public  benefit
      corporation.  The  authority  and  its  corporate  existence  shall   be
      perpetual.
        2.  The authority shall become effective and the district organized on
      the first day of January, nineteen hundred fifty-nine.  If  the  minimum
      number  of municipalities do not approve its formation in earlier years,
      it shall become effective and the district organized on the first day of
      January, nineteen hundred sixty or nineteen hundred sixty-one.
        3. The authority shall consist of seven representatives of the city of
      Salamanca and one for each of the towns  which  become  members  of  the
      authority.  Seven of the members shall be representatives of the city of
      Salamanca and shall be appointed by the mayor, subject  to  approval  of
      the  common  council. One member shall be appointed to represent each of
      the participating towns, and each town representative shall be appointed
      by its respective town board.
        4. The first members shall be appointed for the city of Salamanca  for
      the  following  terms  from  the  first day of January, nineteen hundred
      fifty-nine as follows: Two for a term of one year, two for a term of two
      years, one for a term of three years, one for a term of four  years  and
      one  for  a term of five years. The first members shall be appointed for
      the towns for terms beginning on the  first  day  of  January,  nineteen
      hundred  fifty-nine  or on the first day of January of the following two
      years when participation of said towns is effective as may be  fixed  in
      the  agreement  to  be entered into by the participating municipalities.
      The initial representatives of the towns shall serve for terms as  fixed
      in said agreement.
        5.  Subsequent  appointments of each city or town representative shall
      be made in the same manner as above set forth and for  a  term  of  five
      years.
        6.  All  members  shall continue to hold office until their successors
      are appointed and qualified. The resignation of  any  members  shall  be
      filed  with  the  appointing  authority  and  shall be effective when so
      filed.   Vacancies occurring otherwise than by  expiration  of  term  of
      office, shall be filled for the unexpired term.
        7.  Members  of  the  board  may  be  removed from office for the same
      reasons and in the same manner as may be provided by law for the removal
      of officers  of  a  city,  respecting  the  members  from  the  city  of
      Salamanca, or as may be provided by law for the removal of officers of a
      town, respecting the members from the towns.
        8.  The  members shall receive no compensation for their services, but
      may be reimbursed for their actual and necessary  expenses  incurred  in
      connection  with  the  performance  of  their  official  duties  if  the
      authority shall so provide by resolution for such cases.
        9. The powers of the authority shall be vested in and exercised by the
      members as heretofore set forth and the authority formed  at  a  meeting
      called  for  said  purpose  by  the  chairman  of  the existing board of
      managers of the Salamanca hospital district as soon as convenient  after
      the  approving  vote of the minimum number of municipalities required to
      organize the authority.
        10. Seven members of the authority shall constitute a quorum necessary
      to constitute a legal meeting and to do business. A majority vote of the
      members present shall be necessary to constitute favorable action at any
      meeting.
    
        11. Oaths of office of all members of the  authority  shall  be  filed
      with the Cattaraugus county clerk.
        12.  All  changes  in  the  officers and members of the board shall be
      contained in the minute book of the board.
