Section 1793. Membership

There is hereby created and established a board to
  be  known as the Salamanca Indian lease authority. Such board shall be a
  body corporate and politic, constituting a  public-benefit  corporation.
  The  board shall consist of seven members all of whom shall be residents
  of the city of Salamanca. One member shall be the mayor of the  city  of
  Salamanca. One member shall be the comptroller of the city of Salamanca.
  The  mayor  shall serve as a board member for the period coincident with
  his term of office, and although serving  ex  officio,  shall  have  the
  right  to  vote.  The  remaining  five members shall be appointed by the
  mayor, with the approval of the city council, one member initially to  a
  one-year  term,  a second member to a two-year term, a third member to a
  three-year term, and a fourth member to a four-year term and  the  fifth
  member  to  a  full five-year term. As the terms above set forth expire,
  replacements to such board shall be named by the mayor with the approval
  of the city council for full five-year terms. If a vacancy  shall  occur
  by  reason  of death, disqualification, non-residence after appointment,
  resignation or removal, the successor shall be appointed  by  the  mayor
  with  the  approval  of  the  city  council  for the unexpired term. The
  members of the authority shall before entering upon  their  duties  take
  the constitutional oath of office and file the same in the office of the
  clerk  of  the  city  of  Salamanca. The authority shall organize by the
  selection from its members of a chairman, vice-chairman  and  secretary.
  It  shall  adopt  such rules as it may deem necessary and proper for the
  government of its own proceedings and  the  conduct  of  its  authorized
  activities and shall keep a record of its proceedings. A majority of the
  members  of  the authority shall constitute a quorum for the transaction
  of business. The members of the authority shall serve without salary.  A
  member  may be removed by the mayor with the consent and approval of the
  city council for cause after giving such member a copy  of  the  charges
  and  an  opportunity  to  be  heard  in  his own defense in person or by
  counsel upon not less  than  ten  days'  notice.  The  decision  of  the
  appointing   officer   shall  be  subject  to  review  pursuant  to  the
  appropriate provisions of the civil practice law and rules.
    The authority shall grant to the Seneca Nation of Indians  the  option
  of having seated at each meeting of the board up to three members of the
  nation,  who  may participate in such meetings but without vote, and who
  shall be designated by the council of the nation for such term or  terms
  as  the  council  may  determine.  Such members shall have access to all
  records of the authority.
